Terms of Service

These Terms of Service ("Terms") govern your use of the software-as-a-service products ("Services") provided by RunBeat Media Ltd ("RunBeat", "we", "us", "our"), a company registered in England and Wales. By creating an account or using any RunBeat Service, you ("Customer", "you") agree to be bound by these Terms.
1. Definitions
- "Services" means RunBeat Pulse, RunBeat CRM, RunBeat Compliance, RunBeat Controller, RunBeat Bonus, RunBeat Contracts, and any other software products provided by RunBeat Media under a subscription. The Services are delivered via web application, desktop application (macOS and Windows), and mobile application (iOS and Android). These Terms apply regardless of the platform or device used to access the Services.
- "Subscription" means the paid plan selected by the Customer, including the tier, features, and billing interval.
- "Customer Data" means all data, content, and materials uploaded, entered, or generated by the Customer or its users through the Services.
- "Users" means individuals authorised by the Customer to access the Services under the Customer's account.
- "Subscription Period" means the recurring billing period (monthly or annual) applicable to the Customer's Subscription.
2. Platforms and Access Methods
2.1. The Services may be accessed through any combination of web browsers, desktop applications (macOS and Windows), and mobile applications (iOS and Android). All platforms connect to the same account and data.
2.2. Desktop and mobile applications are provided at no additional cost as part of your Subscription. They are subject to the same terms, restrictions, and acceptable use requirements as the web application.
2.3. We may update desktop and mobile applications automatically. By using these applications, you consent to automatic updates delivered over HTTPS.
3. Account and Access
3.1. You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.2. You may authorise additional Users up to the limit specified by your Subscription tier. You are responsible for ensuring all Users comply with these Terms.
3.3. We reserve the right to suspend or terminate access to any account that violates these Terms or is used for unlawful purposes.
4. Subscription and Billing
4.1. Subscriptions are offered on a rolling monthly or annual basis, as selected at the time of purchase. Monthly subscriptions renew automatically each calendar month. Annual subscriptions renew automatically at the end of each 12-month period.
4.2. All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless stated otherwise. VAT will be added at the applicable rate.
4.3. Payment is collected in advance via Stripe. By subscribing, you authorise us to charge your payment method on each renewal date.
4.4. We may adjust pricing with at least 30 days' written notice before the start of your next Subscription Period. If you do not agree to the new pricing, you may cancel before the new period begins.
5. Cancellation
5.1. You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current Subscription Period.
5.2. No refunds are provided for partial periods. If you cancel mid-period, you retain access until the end of the paid period.
5.3. For annual subscriptions, if you cancel within the first 14 days and have not materially used the Services, you may request a full refund in accordance with the Consumer Contracts Regulations 2013.
6. Customer Data
6.1. You retain all ownership rights in your Customer Data. We do not claim any intellectual property rights over your content.
6.2. You grant us a limited licence to host, process, and transmit your Customer Data solely for the purpose of providing the Services.
6.3. We will not access, use, or disclose your Customer Data except as necessary to provide the Services, comply with the law, or as described in our Privacy Policy.
7. Data Retention and Deletion
7.1. Upon cancellation or termination of your Subscription, we will retain your Customer Data for a period of 30 days to allow you to export or retrieve it.
7.2. After the 30-day retention period, we will permanently delete all Customer Data from our active systems. Encrypted backups may be retained for up to 90 days before automatic deletion.
7.3. Certain data may be retained beyond these periods where required by law or regulation (for example, compliance audit records supporting due diligence under the Ofcom Broadcasting Code are retained for a minimum of two years).
7.4. You may request early deletion of your data at any time by contacting us. We will process such requests within 30 days, subject to any legal retention obligations.
8. Service Levels
8.1. We target a service availability of 99.5% measured on a calendar month basis, excluding scheduled maintenance windows.
8.2. Scheduled maintenance will be carried out during off-peak hours (typically 02:00–06:00 GMT) with at least 48 hours' notice where practicable.
8.3. In the event of a service outage exceeding 4 consecutive hours (excluding scheduled maintenance), affected Customers on paid plans may request a service credit equal to a pro-rata portion of their monthly fee for the downtime period.
8.4. Service credits must be requested within 14 days of the incident and are capped at 30% of the monthly subscription fee. Credits are applied to future invoices and are not redeemable for cash.
8.5. The SLA does not apply to outages caused by factors outside our reasonable control, including internet connectivity issues, third-party service failures, or force majeure events.
9. Acceptable Use
9.1. You agree not to use the Services to:
- Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
- Violate any applicable law or regulation, including broadcasting regulations
- Attempt to gain unauthorised access to any part of the Services or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse-engineer, decompile, or disassemble any part of the Services
- Resell, sublicense, or redistribute access to the Services without our written consent
10. Intellectual Property
10.1. The Services, including all software, design, documentation, and branding, are the intellectual property of RunBeat Media Ltd and are protected by copyright, trademark, and other intellectual property laws.
10.2. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services during your active Subscription.
11. Limitation of Liability
11.1. To the maximum extent permitted by law, RunBeat Media's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.
11.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether arising from contract, tort, or otherwise.
11.3. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law.
11.4. The Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the suitability, reliability, availability, or accuracy of the Services.
12. Indemnification
12.1. You agree to indemnify and hold harmless RunBeat Media, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.
13. Modifications to Terms
13.1. We may update these Terms from time to time. We will notify you of material changes by email or through the Services at least 30 days before they take effect.
13.2. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree, you may cancel your Subscription before the changes take effect.
14. Suspension and Termination
14.1. We may suspend your access to the Services immediately if: (a) your payment fails and is not resolved within 7 days; (b) you breach these Terms; or (c) we are required to do so by law.
14.2. We may terminate your Subscription with 30 days' written notice for any reason. In such cases, we will provide a pro-rata refund for any unused portion of a prepaid period.
15. Force Majeure
15.1. Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, power failures, or pandemics.
16. Governing Law and Disputes
16.1. These Terms are governed by and construed in accordance with the laws of England and Wales.
16.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.3. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
17. General
17.1. These Terms, together with the Privacy Policy, constitute the entire agreement between you and RunBeat Media regarding the Services.
17.2. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4. You may not assign or transfer your rights under these Terms without our prior written consent.
